Clipy AI Terms
Last updated:
These terms apply to Clipy AI, Clipy's managed short-form distribution service, and are for business customers only. They add to the Terms of Service, the Privacy Policy and the Campaign & Client Policy. Clipy AI does not guarantee views, followers, engagement, sales or any other result. Social media platforms can restrict or remove accounts and content at any time, and Clipy does not control their decisions. The managed accounts are operated by Clipy and its account partners and are not transferred to you. Please read sections 4, 12, 25, 26 and 45 carefully.
These Clipy AI Terms (the “AI Terms”) form a binding agreement between Clipy (“Clipy”, “we”, “us”, “our”) and the business that uses Clipy AI (the “Client”, “you”, “your”). By creating a Clipy AI campaign, paying for a Clipy AI plan, using the AI Assistant, or otherwise using any part of Clipy AI, you confirm that you have read and accept these AI Terms on behalf of your business, and that you are authorised to bind that business. If you do not have that authority, or do not accept these AI Terms, you must not use Clipy AI.
These AI Terms add to the Terms of Service, the Privacy Policy and the Campaign & Client Policy. Where they conflict, the order of precedence in section 51 applies. Matters not covered in these AI Terms are governed by those documents.
These AI Terms are written to be read in full. Headings are for convenience only. Words such as “including” and “for example” introduce illustrations and do not limit the general words before them. References to a law include that law as amended or replaced, and references to the EU include, where relevant, the European Economic Area.
Clipy AI is a managed distribution service. You buy a plan, supply your own short-form content, and set the direction of a campaign. Clipy and its service partners then create new social media accounts for that campaign in one target country, set them up, warm them up, publish your content from them on a schedule, and report the results back to your workspace.
- Clipy AI currently operates on two supported third-party short-form video platforms (the “Platforms”). Clipy may add or remove supported Platforms under section 48. Each campaign targets exactly one country.
- The accounts are created and operated for the campaign by Clipy and its account partners. They are not your personal or brand accounts, and they are not transferred to you (see section 26).
- Clipy AI distributes content you provide. It does not create your videos, images or claims for you, except for drafts suggested by the AI Assistant that you choose to use (see section 31).
- Clipy AI is a business service. It is not offered to consumers or to anyone under 18 (see section 3).
- Clipy AI is not a talent agency, advertising agency, law firm or compliance adviser. Nothing Clipy or the AI Assistant says is legal, tax, financial or regulatory advice.
In these AI Terms:
- “Campaign” means a Clipy AI campaign you create in your workspace, with its target country, plan, accounts, schedule and Content.
- “Content” has the meaning given in section 14.
- “Managed Accounts” means the social media accounts created, held and operated for a Campaign by Clipy and its account partners.
- “Account Partners” means the independent service partners Clipy engages to create, warm up and operate Managed Accounts and to publish posts from them.
- “Platforms” means the supported third-party social media platforms on which Clipy AI operates from time to time.
- “Plan” means the Clipy AI plan you confirmed on the payment screen, as described in section 8.
- “Allowance” means the posts included in your Plan for a Campaign: on a monthly or Custom Plan, the posts granted for each paid month, as described in section 8; on a one-time Plan, the Campaign total.
- “AI Assistant” means the AI-based assistant made available within Clipy AI, described in section 31.
- “Applicable Law” means all laws, regulations, codes and binding regulatory guidance that apply to you, your Content, your products or services, or the Campaign, including those of the target country.
- “Personal Data” has the meaning given in the EU General Data Protection Regulation (Regulation (EU) 2016/679, “GDPR”), the UK GDPR, or equivalent terms in other data protection laws.
Clipy AI is offered only to businesses, sole traders acting in the course of their trade, and organisations. By using Clipy AI you represent that you are acting for purposes relating to your trade, business, craft or profession, and not as a consumer.
- Consumer protection rules that apply only to consumers, such as statutory rights to withdraw from a distance contract, do not apply to your use of Clipy AI, to the extent the law allows them to be excluded for business customers.
- You must be at least 18 years old and legally able to enter contracts to use Clipy AI on behalf of your business.
- If Clipy reasonably believes that Clipy AI is being used by a consumer or a minor, Clipy may suspend the Campaign and, where no Managed Account has yet been created, refund the payment under section 12.
- Where a mandatory law in your country nevertheless gives you rights that cannot be excluded, those rights are not affected by these AI Terms.
Clipy AI does not promise any outcome. Views, impressions, followers, engagement, reach, watch time, clicks, conversions and sales depend on the Platforms' algorithms, audiences, moderation and decisions, on the quality and appeal of your Content, and on market conditions, none of which Clipy controls.
- Warm-up and scheduling are intended to give Content a fair chance of being shown. They do not guarantee distribution, recommendation, or any particular audience.
- Figures, case studies, testimonials, projections and statistics on Clipy's websites, in sales material, in conversations with Clipy staff or from the AI Assistant describe past results, estimates or general capability. They are not a promise of what your Campaign will achieve, and you have not relied on them in deciding to buy a Plan.
- A Campaign is delivered when Clipy has operated the service as described in your Plan, regardless of the results it produces.
- Poor performance, low engagement, or a Platform's decision not to recommend a post is not a defect in the service and is not by itself a ground for a refund, credit or extension.
- The earliest start date shown when you create a Campaign allows for Clipy's review, account creation and a preparation period (currently about four days of warm-up and final checks before the first post). These are estimates, not deadlines.
- Clipy reviews every paid Campaign before anything is created or published. Clipy may approve it, ask you to change it, or decline it (section 20). Review times are not guaranteed.
- Posts are published within a publishing window around their scheduled time, not at an exact minute. Account Partners may move a post to a later day, for example when its scheduled day has already passed when it is handed over. Clipy shows the new date in your workspace.
- Posting volume per account is limited (currently up to two posts per account per day) to protect the accounts. Clipy may adjust a schedule, hold posts, or space them out where needed to keep accounts in good standing or to comply with Platform rules.
- A post that fails to publish is not automatically posted again.
- Delays caused by Platforms, Account Partners, review of your Content, missing or late information from you, or events outside Clipy's reasonable control do not make a Campaign late for the purposes of these AI Terms and do not entitle you to a refund, credit or extension.
- Time is not of the essence for any date or period in Clipy AI unless a separate written agreement signed by Clipy expressly says so.
Clipy will provide Clipy AI with reasonable skill and care, in line with good industry practice for a service of this kind. Beyond that, Clipy does not commit to any service level.
- Clipy does not guarantee any uptime, availability, publishing rate, response time or resolution time for Clipy AI, the workspace, the AI Assistant or reporting, unless a separate written service-level agreement signed by Clipy says so.
- Descriptions of support levels in a Plan (for example “priority support” or a “dedicated account manager”) describe how Clipy intends to work with you. They are not a service-level commitment and do not carry response-time guarantees or service credits.
- Support is provided by email at support@useclipy.com and through any channels shown in your workspace, during Clipy's normal business hours. Clipy will make reasonable efforts to respond promptly, prioritising issues that affect live publishing or security.
- Clipy may carry out planned or emergency maintenance at any time. Where practical, Clipy will try to avoid disruption to scheduled publishing.
- Support does not include legal review of your Content, strategy consulting beyond what your Plan describes, or creation of new Content.
Clipy may offer features of Clipy AI that are labelled as beta, preview, early access, experimental or similar (“Beta Features”), including new capabilities of the AI Assistant.
- Beta Features are provided for evaluation, may be incomplete or unreliable, and may change or be withdrawn at any time without notice or liability.
- Beta Features are excluded from any support commitment and are provided strictly “as is”, without any warranty, to the fullest extent permitted by law.
- You use Beta Features at your own risk and should not rely on them for critical business decisions.
- Feedback you give about Beta Features or any other part of Clipy AI may be used by Clipy freely and without obligation to you.
Your Plan is the one shown, with its price, setup fee, number of accounts, post Allowance, supported Platforms and billing type, at the moment you press “Pay and Submit”. Clipy records that Plan with your Campaign, and that record is what you bought.
- Monthly Plans are billed every month until cancelled (section 11). One-time Plans are billed once. Custom Plans are agreed with Clipy separately and invoiced as agreed.
- Posts are granted each paid month. On a monthly or Custom Plan, each paid month of the Campaign adds the Plan's posts to the Allowance, starting with the first payment. Nothing is added for a month that is not paid, while a payment is overdue, or after the subscription has ended. On a one-time Plan, the Allowance is a Campaign total, granted once. The Allowance is not a per-account quota. Every scheduled post uses one unit of the Allowance, including posts that later fail to publish or are held because the Campaign was stopped.
- Unused posts. On the Pilot Plan, and on any other monthly Plan that is not a Scale or Custom Plan, unused posts do not carry over: posts not yet scheduled when a new paid month starts expire at that point. Posts already scheduled are not affected. On the Scale Plan and on Custom Plans, unused posts carry over to the following months while the Campaign runs. Any extra posts Clipy adds to a Campaign follow the same rule as the Plan's own posts.
- Unless your Plan says otherwise in writing, unused Allowance does not carry over to another Campaign, does not convert into credit, and is not refundable, including when a Campaign ends.
- The number of accounts is the number Clipy will set up for the Campaign at the start. Adding accounts to a running Campaign is not part of a Plan unless agreed in writing.
- A Plan covers one Campaign in one target country. Additional countries, Platforms or Campaigns require a separate Plan.
- Anything not described in your Plan, including Content creation, editing, translation, paid advertising on the Platforms, influencer outreach or account replacements, is not included unless Clipy agrees to it in writing.
- Payments are processed by Clipy's third-party payment processor. Card details go to the payment processor directly; Clipy never sees or stores full card numbers. Only workspace owners and admins can pay.
- Nothing is sent for review or created until the first payment has succeeded. You are charged the amount shown as due today on the payment screen, which includes any one-time setup fee.
- All amounts are payable in the currency shown on the payment screen. You are responsible for any currency conversion, foreign transaction or bank fees charged by your own bank or card issuer.
- Prices do not include taxes unless stated. You are responsible for any sales tax, VAT, GST, withholding tax or similar charges that apply to your purchase, other than taxes on Clipy's income. Where reverse-charge VAT applies, you are responsible for accounting for it, and you must give Clipy any valid tax identification number needed for that purpose.
- If you are required by law to withhold any tax from a payment, you will increase the payment so that Clipy receives the full amount it would have received without the withholding, unless the law prohibits this.
- You must not initiate a chargeback or payment dispute for an amount that is properly due under these AI Terms. If you believe a charge is wrong, contact Clipy first. An unjustified chargeback is a breach of these AI Terms, and Clipy may recover the amount and any associated fees.
- Monthly Plans renew automatically every month on the same day, at the price you confirmed, until the subscription is cancelled. Renewals are charged to the payment method on file, and you authorise Clipy and its payment processor to make those charges.
- You must keep a valid payment method on file for as long as a monthly subscription is active.
- If a renewal fails, you will be told in your workspace and asked to update your payment method. The payment processor may retry the charge.
- While a renewal payment is overdue, Clipy schedules and sends no new posts for the Campaign; posts already handed to an Account Partner may still be published. On a Pilot Plan this hold starts as soon as the payment fails. On a Scale or Custom Plan, posting continues for one day after the payment fails, and the hold starts if the payment is still overdue after that. Posting resumes once the payment goes through.
- Clipy may pause, stop or end a Campaign while an amount is overdue, and may suspend Clipy AI for your workspace until it is paid. Posts held during a suspension for non-payment still count against the Allowance and are not published late.
- Overdue amounts remain payable after a Campaign is stopped or ended. To the extent permitted by law, Clipy may charge statutory late-payment interest and reasonable recovery costs on overdue amounts owed by a business customer.
- To cancel a monthly Plan, contact Clipy at support@useclipy.com (or use the billing options in your workspace where they allow it). Cancellation stops future renewals at the end of the current billing month.
- Stopping or pausing a Campaign in your workspace does not cancel the subscription. A stopped Campaign on a monthly Plan continues to renew until the subscription itself is cancelled.
- Cancelling does not end the service early for the month already paid, and amounts already paid are not refunded because of a cancellation, except as set out in section 12 or where the law requires it.
- Cancelling a subscription does not by itself stop a Campaign. If you also want publishing to stop immediately, stop the Campaign in your workspace (section 23).
- Clipy will confirm a cancellation request. Keep that confirmation; if you do not receive it within a reasonable time, contact Clipy again.
- Setup fees, one-time Plan fees and monthly fees are non-refundable once Clipy has started creating accounts for your Campaign, because that work and the partner costs behind it begin at that point.
- If Clipy declines your Campaign in review, or cannot start it, before any account has been created, Clipy will refund the payment for that Campaign.
- If you were charged twice for the same Campaign, or charged a price other than the one you confirmed, Clipy will refund the difference.
- Any other refund, partial refund or credit is at Clipy's discretion, is made as a goodwill gesture only, and does not change these AI Terms for the future. A refund of a past payment does not by itself cancel a monthly subscription.
- Restrictions, removals or poor performance caused by Platforms, by your Content, or by a stop you requested are not grounds for a refund.
- Refunds are made to the original payment method through the payment processor. Processing times depend on the payment processor and your bank. Mandatory rights you may have under Applicable Law are not affected.
- Clipy may change the prices and contents of Plans for new purchases at any time.
- If a Plan's price or contents change after you prepared a Campaign, Clipy will show you the current terms before you pay. You are only charged what you confirmed on the payment screen.
- Changes to the price of a monthly Plan apply from the next renewal after Clipy has given you reasonable notice, which will be at least 15 days where the P2B Regulation applies (section 41). You can cancel before that renewal.
- Clipy may withdraw a Plan for new purchases. Existing Campaigns on a withdrawn Plan continue on the terms you confirmed until they end or are cancelled.
You are responsible for everything you upload, write or select for Clipy AI, including videos, images, captions, hashtags, sounds and music, locations, collaborators, profile details, links, and any AI Assistant drafts you choose to adopt (your “Content”). You represent and warrant, each time you submit or approve Content, that:
- You own your Content or have every licence, permission and consent needed to let Clipy, its service partners and the Platforms copy, adapt (for example resizing or re-encoding), publish and display it from the Managed Accounts, in the target country, for the length of the Campaign and afterwards for as long as the posts stay online.
- Your Content includes the rights to any music, sound, voice, likeness, trademark or third-party material in it, including the right to use that music commercially. Sounds that a Platform marks as non-commercial, muted or removed may be held back by Clipy.
- Everyone who appears in your Content, or whose Personal Data it contains, has agreed to that use, and any minors appear with valid parental or guardian consent and in compliance with Applicable Law.
- Your Content and the claims in it are true, substantiated, not misleading, and comply with all Applicable Law in the target country, including consumer protection, unfair commercial practices, comparative advertising, product safety, health, food, cosmetics, financial promotion and data protection rules.
- Your Content complies with the Platforms' rules and with the prohibited content rules in the Campaign & Client Policy.
- Your Content does not contain malware, hidden tracking, or links to pages that do any of the things prohibited by these AI Terms.
- The products and services your Content promotes are lawful to market and supply in the target country, and you hold any licence, registration or authorisation needed to do so.
Clipy relies on these warranties. If any of them stops being true, you must tell Clipy promptly and stop or change the affected Content.
- You grant Clipy and its service partners a worldwide, non-exclusive, royalty-free, sublicensable (to service partners and Platforms only, as needed to provide the service) licence to host, store, copy, adapt, format, publish, display and distribute your Content as needed to provide Clipy AI and to report on it.
- This licence lasts for the Campaign and for as long as the posts remain online, and for any longer period needed to keep records under section 40 or to comply with the law.
- You keep ownership of your Content. Clipy does not acquire any rights in your trademarks or brand except as needed to provide Clipy AI.
- Clipy will not use your Content in its own marketing, case studies or client lists without your prior consent.
- Clipy, its service partners and their licensors own Clipy AI, the AI Assistant, the workspace, reports and all related software, know-how and materials. Nothing in these AI Terms transfers those rights to you.
Content published through Clipy AI promotes your business. You are responsible for deciding whether, where and how it must be identified as advertising, sponsored content or a paid partnership in the target country, under the advertising, endorsement and consumer protection laws and self-regulatory codes that apply there (for example the EU Unfair Commercial Practices Directive, the UK consumer protection and advertising codes, or the endorsement guidance of a national consumer protection regulator), and for including the required disclosure in your Content or captions.
- Clipy does not add advertising, sponsorship or paid-partnership labels to posts on your behalf unless it agrees to do so in writing for your Campaign.
- You must not ask Clipy to present Content as the independent, unpaid opinion of an ordinary user, customer or creator where that would be misleading.
- Clipy may require you to add a disclosure, or may hold or remove a post, if it reasonably believes a disclosure is legally required and missing. Doing so does not make Clipy responsible for checking disclosures generally.
Laws in some countries, including the transparency obligations of the EU Artificial Intelligence Act (Regulation (EU) 2024/1689), require certain content that has been generated or manipulated by AI, such as realistic images, audio or video depicting real people, places or events (sometimes called “deep fakes”), to be disclosed as artificially generated or manipulated.
- Clipy does not add AI-content labels for you. If your Content was created or materially altered with AI, you are responsible for any labelling, watermarking or disclosure that the Platform or the law requires. Platforms may add their own labels, which Clipy does not control.
- You decide what Content to publish and are the person responsible for it for the purposes of any such transparency obligation.
- You must not use AI-generated or manipulated Content to depict a real person saying or doing something they did not say or do without their consent, or in a way that could mislead the public.
- Clipy may hold or remove a post if it reasonably believes a required AI disclosure is missing.
Because Managed Accounts are operated by Clipy and its Account Partners, misuse puts Clipy, its partners and other clients at risk. In addition to the rules in the Campaign & Client Policy, you must not use, or ask Clipy to use, Clipy AI to:
- send spam, post repetitive or unsolicited commercial messages, or mass-comment, mass-message or mass-follow other users;
- engage in coordinated inauthentic behaviour, including presenting multiple Managed Accounts as unconnected independent people in order to mislead users about the popularity of, or support for, a product, person, cause or opinion;
- manipulate engagement artificially, for example through fake comments, purchased likes, follows or views, engagement pods, or coordinated reporting of other users;
- influence elections, referendums, political campaigns, public policy debates or civic processes, or spread political or issue-based advertising, unless Clipy has approved it in advance in writing and it meets every legal requirement in the target country;
- impersonate any real person, brand, organisation, public authority or creator, or mislead people about who operates an account or who is behind its Content;
- publish fake, incentivised-but-undisclosed or fabricated reviews, testimonials, endorsements, before-and-after results or user stories;
- spread disinformation, health misinformation, hate speech, harassment, threats, or content that targets or exploits minors;
- evade, circumvent or test a Platform's enforcement, detection or rate-limiting systems, or recreate content or accounts that a Platform has removed;
- collect Personal Data from Platform users, scrape Platforms, or direct users to pages that harvest credentials or payment details;
- promote pyramid schemes, get-rich-quick schemes, counterfeit goods, unlicensed financial products or any unlawful product or service.
Clipy may treat any breach of this section as a material breach that justifies immediate suspension under section 43.
Content concerning elections, political campaigning, gambling, cryptocurrency and other crypto-assets, financial investments, adult content, weapons, drugs, tobacco and vaping, alcohol, prescription medicines, medical devices, health claims, dietary supplements, dating, or other regulated or sensitive categories may only be used in Clipy AI if Clipy has approved it in writing in advance and it meets every legal and Platform requirement in the target country.
- Approval of one Campaign in a sensitive category does not approve any other Campaign or Content.
- You must tell Clipy, before paying, if your Campaign concerns any of these categories. If you do not, Clipy may decline or stop the Campaign, and section 12 will not entitle you to a refund once accounts have been created.
- Clipy may decline any sensitive category for any reason, including Platform or partner policy.
Clipy reviews every Clipy AI Campaign and may refuse, hold, edit for formatting, or remove any Content, account detail or Campaign at any time if Clipy reasonably believes it:
- breaks the law, a Platform's rules, these AI Terms, or the Campaign & Client Policy;
- infringes someone else's rights, or lacks the rights described in section 14;
- is deceptive, impersonates someone, makes unsupported health, financial or earnings claims, or targets minors inappropriately;
- falls into a restricted or sensitive category without approval under section 19;
- puts the Managed Accounts, Clipy's partners, other clients or Clipy's reputation at risk.
Clipy is not obliged to review Content for legal compliance and does not do so on your behalf. Clipy's review, or its decision not to refuse something, does not mean the Content is lawful, accurate or approved, and does not shift responsibility for the Content from you to Clipy. Where Clipy restricts your Content, section 22 applies.
Clipy stores and publishes Content at your request. Consistent with the EU Digital Services Act (Regulation (EU) 2022/2065, “DSA”) and similar laws, anyone can tell Clipy about Content distributed through Clipy AI that they believe is illegal or breaches these AI Terms.
- Reports can be sent to admin@useclipy.com. A report should explain why the Content is considered illegal, identify where it is (for example a link to the post), give the reporter's name and email address (except for certain reports about child sexual abuse material), and include a statement that the report is made in good faith and is accurate and complete.
- Clipy will acknowledge reports where a contact address is given, review them in a timely, diligent, non-arbitrary and objective manner, and tell the reporter of its decision and of any available ways to challenge it.
- Clipy may restrict, hold or remove the Content concerned while it reviews a report, where it reasonably believes that is necessary to prevent harm.
- Where Clipy becomes aware of information giving rise to a suspicion that a criminal offence involving a threat to the life or safety of persons has taken place, is taking place or is likely to take place, it may inform the competent authorities.
- Clipy may stop processing reports from people who frequently submit manifestly unfounded reports, after a warning.
- You must cooperate promptly with Clipy in responding to any report concerning your Content.
When Clipy restricts your Content or your Campaign (for example by refusing, holding, removing or limiting a post, stopping a Campaign, or suspending your access), it will give you a clear and specific statement of reasons, where required by law and unless the law or a competent authority prevents it.
- The statement of reasons will say what was restricted and how, the facts and circumstances relied on, whether the decision was made using automated means, and the legal ground or the provision of these AI Terms or the Campaign & Client Policy relied on.
- You may not receive a statement of reasons where the information is manifestly deceptive high-volume commercial content, or where providing it would breach the law, a legal order, or would compromise the prevention, detection or prosecution of an offence.
- You can complain about a restriction decision, free of charge, within six months of being told of it, by writing to support@useclipy.com. Clipy will handle complaints diligently, without undue delay, under the supervision of appropriately qualified staff and not solely by automated means, and will reverse its decision where the complaint shows it was unjustified.
- Where the DSA or the P2B Regulation gives you access to certified out-of-court dispute settlement or mediation, you may also use those routes (see section 41). Nothing in this section affects your right to go to court.
- Restrictions imposed by a Platform itself are the Platform's decisions. Clipy will pass on information it receives about them where it can, but cannot give reasons for, or reverse, a Platform's decision.
- You can stop a Campaign from your workspace. Once stopped, Clipy holds upcoming posts and asks its Account Partners to withdraw posts they hold but have not yet published.
- Posts already handed over to an Account Partner may still be published after a stop. Clipy will tell you when this happens; it cannot always withdraw them.
- When a Campaign resumes, held posts are restored. Posts whose scheduled time passed while the Campaign was stopped are not published late and still count against the Allowance.
- Stopping a Campaign does not cancel a monthly subscription (section 11).
- Clipy can delete or hide posts it published for you where it is able to, but cannot guarantee that copies, shares, downloads, stitches, duets, screenshots or re-uploads by others are removed, or that a Platform will delete a post from its systems or caches.
- Clipy may pause publishing across Clipy AI, or for your Campaign, to protect accounts, respond to Platform changes, investigate a problem or comply with the law.
- Clipy may remove, hold or disable access to Content, stop a Campaign, or disclose information, where it receives an order, request or notice from a court, regulator, law enforcement agency or other competent authority, or a notice of infringement from a rights holder that Clipy reasonably considers valid.
- Where the law allows, Clipy will tell you about such an action and give you an opportunity to respond, including by submitting a counter-notice where an infringement process provides for one.
- Clipy is not required to contest any order or request on your behalf. If you wish to contest one, you do so at your own cost, and Clipy will cooperate reasonably where the law allows.
- Content removed because of a legal request is not grounds for a refund, and posts held as a result still count against the Allowance.
Every Platform sets its own rules and may change them, enforce them, or interpret them at any time. By using Clipy AI you acknowledge and accept that:
- Platforms may limit, label, demote, suspend, ban or delete accounts or posts operated for your Campaign, including without warning or explanation, and Clipy does not control or guarantee their decisions.
- Platforms may mark content as “not recommended”, attach their own AI-content or other labels, mute or remove sounds, or restrict music for commercial use.
- Clipy will make reasonable efforts to keep accounts in good standing and, where an account becomes unusable, will tell you in your workspace. Clipy does not guarantee that any account will stay available for the whole Campaign, and an account that becomes unusable is not by itself a ground for a refund.
- Platforms may change their features, interfaces, policies, regional availability or terms in ways that make some or all of Clipy AI unavailable, less effective or more expensive. Clipy will adapt where it reasonably can, and section 48 applies.
- You will not ask Clipy to use Clipy AI in a way that is designed to evade a Platform's enforcement, to manipulate engagement artificially, or to impersonate any real person or business (see section 18).
- The Managed Accounts are created, held and operated by Clipy and its Account Partners. They remain under Clipy's and its partners' control during and after the Campaign.
- You will not receive the login details or other credentials of these accounts, and you must not try to access, take over, recover, verify, or change them except through the tools Clipy provides. Requests to change an account's profile after it has been created are handled by Clipy and may not always be possible.
- Clipy does not transfer ownership of the accounts, their usernames, their followers or their audience to you, during or after the Campaign, unless Clipy agrees to it in a separate written agreement.
- You must not ask Platform users to contact you through a Managed Account's direct messages as if the account were yours, or represent to anyone that you own or control a Managed Account.
- After a Campaign ends, Clipy decides what happens to the accounts, which may include keeping them inactive, reusing them, or closing them. Your Content will not be posted again from them for another client.
- Any followers, comments or messages received by Managed Accounts are not your customer data, and Clipy is not obliged to pass them on to you except for the aggregated analytics shown in your workspace.
- Account names, display names, bios and profile pictures you suggest must not impersonate any real person, brand or organisation, or mislead people about who operates the account. Clipy may refuse or change them.
- Username checks, whether made by Clipy or the AI Assistant, are a best-effort lookup at that moment. A name shown as available may be taken or refused by the Platform when the account is created, and Clipy will choose the closest suitable alternative.
- Replacement accounts are not part of the service unless your Plan expressly includes them in writing and Clipy confirms them for your Campaign. Where replacements are offered, they are subject to availability, partner capacity and the time left in the Campaign, and a replacement account starts without the followers or history of the account it replaces.
- Clipy may change a profile detail at any time where needed to comply with Platform rules or the law, or to protect the account.
- Clipy AI depends on Platforms, Account Partners, payment processors, AI model providers, search providers, lookup providers, hosting and other third parties. Their services are governed by their own terms and policies, which Clipy does not control.
- Your Content as published on a Platform is also subject to that Platform's terms and community guidelines. You must comply with any Platform terms that apply to the advertising or promotion of your products, as if you were publishing the Content yourself.
- Clipy is not an agent, partner or representative of any Platform, and the Platforms do not endorse or sponsor Clipy AI.
- Clipy is not responsible for the acts, omissions, policies, outages or decisions of any third party, but will take reasonable steps to address problems caused by its own chosen service partners where they affect your Campaign.
- Links to third-party websites or content in Clipy AI, including those found by the AI Assistant, are provided for convenience only.
- You are responsible for everyone you invite to your workspace and for what they do in Clipy AI. Owners and admins can pay and manage billing. Members can create and edit Campaigns, upload Content and stop or resume Campaigns. Viewers can only view.
- Keep your sign-in methods secure and remove access promptly for people who leave your business. Clipy is not responsible for actions taken by someone using your team's credentials.
- Tell Clipy immediately if you suspect unauthorised access to your workspace.
- Clipy staff can view and operate your Campaigns to provide, support and secure the service. Sensitive staff actions are logged.
- Instructions given in your workspace by any of your team members are treated as your instructions.
- Clipy may cooperate with Platforms, Account Partners, regulators, consumer protection authorities, data protection authorities, law enforcement and courts in relation to Clipy AI, including by answering enquiries about a Campaign and its Content.
- You must give Clipy, promptly and free of charge, any information and documents it reasonably requests to answer such an enquiry, to verify the identity of your business or its owners, or to show that your Content and claims are lawful and substantiated.
- Where a Platform or authority asks Clipy to identify the business behind a Campaign, Clipy may disclose your business identity and relevant Campaign information, where permitted by law and the Privacy Policy.
- If you receive an enquiry, complaint or investigation from an authority about Content distributed through Clipy AI, you must tell Clipy promptly, where the law allows.
Clipy AI includes an AI Assistant that can answer questions, suggest Campaign drafts, propose account names and check whether usernames look available, search the web and read pages you point it to, and read your workspace's own Campaign data.
- The AI Assistant's answers and drafts are generated by AI models from third-party AI model providers. They can be wrong, incomplete, out of date, biased or unsuitable. Review everything before you use it. You are responsible for the Content and decisions you choose to adopt.
- The AI Assistant cannot pay, publish or change a live Campaign. Drafts it creates are unpaid until you review and pay for them.
- Username checks are a best-effort lookup at that moment (section 27).
- Messages, attachments and relevant workspace data are sent to the AI model provider Clipy uses to produce answers, and web searches are sent to a search provider. Do not share passwords, payment card details, health information or other special category or sensitive Personal Data with the AI Assistant.
- The AI Assistant may remember short preferences you state so it can help you better. You can see, delete or clear these memories in the AI Assistant at any time.
- Usage limits apply to the AI Assistant and may change. Clipy may turn the AI Assistant off or change its model or providers at any time.
- You must not use the AI Assistant to generate unlawful, infringing or harmful material, to attempt to extract its instructions or other users' data, to circumvent its safeguards, or to build a competing service.
- You must not use the AI Assistant to make or support decisions about individuals, such as decisions about employment, credit, housing, insurance or access to essential services, or point it at pages you are not allowed to access. Clipy's server reads pages for the AI Assistant without your cookies or sign-in details, and refuses private and internal network addresses.
- Output of the AI Assistant may be similar to output given to others. Clipy does not warrant that output is original or free of third-party rights.
- Setup. When you set up a new Clipy AI workspace, you can paste a link to your website, your app's store listing, or your public profile on a Platform. Clipy's server reads that public page (social media profiles through Clipy's social data provider) and saves the logo it finds as your workspace's logo. From what it read and your answers to the setup questions, Clipy drafts a brand profile and suggested accounts, both of which you can change; the suggested accounts start without a profile picture. Your first Campaign starts with the suggested accounts when you create it. Only paste a link to a page you are allowed to share with Clipy.
- The AI Assistant is an AI system, not a human, and is presented in the product as the Clipy AI assistant. Where the AI Assistant interacts with your team members, you must make sure they know they are interacting with an AI system.
- If you share AI Assistant output with others, for example as text published in Content, you are responsible for any disclosure that the law requires, including the transparency obligations described in section 17.
- Clipy does not use the AI Assistant to make decisions that produce legal effects on you or similarly significantly affect you. Decisions about Campaign approval, restrictions and refunds are made by Clipy staff, who may use tools to assist them. Where a restriction decision involves automated means, the statement of reasons will say so (section 22).
- Analytics shown in Clipy AI come from Account Partners and the Platforms (such as views, likes, comments, shares, followers and impressions). They may be estimated, sampled, delayed, revised or unavailable, and Clipy does not guarantee their accuracy or completeness.
- A missing figure is shown as unknown, not as zero. Totals may differ from what you see on the Platforms themselves.
- Analytics are provided for your information only. They do not form the basis of any fee, guarantee or service level unless a separate written agreement says so.
- You must not present Clipy AI analytics to third parties (for example investors or customers) as audited or independently verified figures.
- Clipy may use aggregated, de-identified data about Campaign performance to operate, secure and improve Clipy AI, provided it does not identify you or any individual.
Clipy handles Personal Data as described in the Privacy Policy. For the purposes of the GDPR, the UK GDPR and similar laws:
- Clipy as controller. Clipy is a controller of the Personal Data it processes to run your relationship with Clipy, including your team's account, sign-in, workspace, billing, support, AI Assistant usage, security logs and, with consent, analytics data.
- Clipy as processor. Where your Content, or information you give Clipy for a Campaign, contains Personal Data of other people (for example people who appear in your videos), and Clipy processes that Personal Data only to provide Clipy AI on your instructions, Clipy acts as your processor, where that characterisation applies under the relevant law.
- You as controller. You are the controller of Personal Data in your Content. You are responsible for having a lawful basis, giving any required notices, obtaining any required consents, and honouring data subjects' rights in relation to that data.
- You must not include special category Personal Data, data about criminal convictions, or Personal Data of children in your Content unless the law allows it and you have all required consents and safeguards.
- You give Clipy, as your processor, the documented instruction to process Personal Data in your Content to provide Clipy AI as described in these AI Terms, including sharing it with the service partners described in section 36 and publishing it on the Platforms.
Where Clipy acts as your processor, the following terms apply, and Clipy will sign a data processing addendum (“DPA”) on these terms on request. Write to admin@useclipy.com to ask for it. If a signed DPA conflicts with this section, the DPA applies.
- Clipy will process the Personal Data only on your documented instructions, including these AI Terms and your use of Clipy AI, unless the law requires otherwise, in which case Clipy will tell you before processing where the law allows.
- Clipy will make sure that people authorised to process the Personal Data are bound by confidentiality.
- Clipy will implement appropriate technical and organisational security measures (section 38).
- Clipy will engage subprocessors only as described in section 36, under written terms giving equivalent data protection obligations, and remains responsible for them.
- Clipy will, taking into account the nature of the processing, assist you by appropriate measures in responding to data subjects' requests, and in meeting your obligations on security, breach notification, data protection impact assessments and prior consultation.
- Clipy will notify you without undue delay after becoming aware of a Personal Data breach affecting the Personal Data, and give you the information reasonably available to help you meet your own notification obligations.
- At the end of the service, Clipy will delete or return the Personal Data at your choice, unless the law requires it to be kept, and except for Content that remains published on the Platforms, which Clipy will try to remove on request where it is able to (section 23).
- Clipy will make available the information reasonably necessary to demonstrate compliance with these obligations and will allow for and contribute to audits as described in section 40.
- Clipy will tell you if, in its opinion, an instruction infringes data protection law.
To provide Clipy AI, Clipy shares only what each category of partner needs:
- Account Partners receive the Campaign's country and title, the account profile details, warm-up instructions, time-limited links to your media, captions, sounds and scheduling dates.
- The payment processor receives your workspace name, the owner's email address and payment details.
- AI model and search providers receive AI Assistant messages, relevant workspace data, attachment excerpts and search queries (section 31).
- Lookup providers receive proposed usernames and the sound identifiers used to check availability.
- Hosting, storage and email providers host and deliver the service and its data.
- Error-tracking and, only with consent, analytics providers receive technical data about how the service is used.
A current list of the subprocessors that may process Personal Data in your Content is available on request from admin@useclipy.com. Where a DPA is in place, Clipy will give notice of a new subprocessor in advance, and you may object on reasonable data protection grounds. If Clipy cannot reasonably address the objection, either party may end the affected Campaign, and Clipy will refund any prepaid amounts for the period after it ends.
- Clipy, its service partners and the Platforms operate in several countries, and Personal Data may be processed outside the country where you are located, including outside the EU, EEA, UK and Switzerland.
- Where Personal Data protected by EU, UK or Swiss law is transferred to a country that has not been found to provide adequate protection, Clipy will rely on an appropriate safeguard, such as the European Commission's Standard Contractual Clauses, the UK International Data Transfer Addendum or Agreement, or an applicable adequacy decision or data privacy framework, together with any supplementary measures that are required.
- Where a DPA is in place and the Standard Contractual Clauses are needed between you and Clipy, they are incorporated into the DPA in the appropriate module.
- Content published on a Platform becomes available in the target country and potentially worldwide under the Platform's own terms. This publication is part of the service you instruct Clipy to perform.
- Clipy uses appropriate technical and organisational measures designed to protect Clipy AI and the data in it against accidental or unlawful destruction, loss, alteration, unauthorised disclosure or access, including encryption in transit, access controls based on role and need, time-limited links when media is shared with Account Partners, logging of sensitive staff actions, and monitoring for errors and abuse.
- Clipy does not hold or share login credentials for your own business or social media accounts and will never ask you for them.
- No system is completely secure. Clipy does not guarantee that unauthorised access will never occur, but will respond to security incidents promptly and in line with the law.
- You must keep your own systems, devices and sign-in methods secure, and must not upload Content containing malware or anything designed to harm Clipy AI or its partners.
- Please report suspected security vulnerabilities to support@useclipy.com. Do not test vulnerabilities against the Managed Accounts, other clients' data, or the Platforms.
- Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential, including your unpublished Content and Campaign plans, and Clipy's pricing, partner arrangements, product roadmap and the operation of the Managed Accounts (“Confidential Information”).
- The receiving party will use Confidential Information only to perform or receive Clipy AI, will protect it with at least reasonable care, and will disclose it only to its personnel, service partners and advisers who need to know it and are bound by confidentiality obligations at least as protective.
- Confidential Information does not include information that is or becomes public without breach, was already known to the receiving party, is independently developed, or is lawfully received from a third party without restriction.
- A party may disclose Confidential Information where required by law, a court or a regulator, after giving the other party notice where the law allows.
- Your Content stops being confidential once it is published on a Platform in accordance with your Campaign.
- You must not disclose the identity of Clipy's Account Partners, the identities of the Managed Accounts beyond what is necessary for your internal reporting, or any non-public information about how Clipy AI operates.
- Clipy keeps records of Campaigns, the Plan you confirmed, Content submitted, scheduling and publishing events, review and restriction decisions, notices and complaints, payments and sensitive staff actions, for as long as needed to provide the service, resolve disputes, meet legal, tax and regulatory obligations and enforce these AI Terms, as described in the Privacy Policy.
- You must keep your own records of the rights, licences, consents and substantiation for your Content for at least as long as the related posts remain online plus any period required by law, and provide copies to Clipy on reasonable request.
- Where Clipy acts as your processor, Clipy will answer reasonable written questions about its compliance and provide available summaries of its security practices. Where these are not sufficient to show compliance, you may, no more than once in any 12-month period (unless required by a regulator or after a Personal Data breach), carry out an audit on at least 30 days' written notice, during normal business hours, at your own cost, by an independent auditor bound by confidentiality, in a way that does not disrupt the service or compromise the security or confidentiality of other clients or partners.
- Clipy may verify your compliance with these AI Terms, including by requesting evidence of rights and substantiation for claims in your Content.
To the extent that Clipy AI is an online intermediation service for business users who offer goods or services to consumers in the EU, within the meaning of the EU Platform-to-Business Regulation (Regulation (EU) 2019/1150, the “P2B Regulation”), or the equivalent regulation retained in UK law, the following applies in addition to the rest of these AI Terms:
- Clipy will give you at least 15 days' notice on a durable medium of proposed changes to these AI Terms, or longer where needed for you to make technical or commercial adaptations, unless the change is required by law or by a regulator, or is needed to address an unforeseen and imminent danger of fraud, malware, spam, data breaches or other cybersecurity risks. You may end your agreement before the notice period expires.
- If Clipy restricts or suspends Clipy AI for you, it will give you a statement of reasons on a durable medium before or at the time the restriction or suspension takes effect.
- If Clipy terminates Clipy AI for you altogether, it will give you at least 30 days' notice with a statement of reasons, except where Clipy is subject to a legal or regulatory obligation to terminate sooner, exercises a right to terminate for an imperative reason under national law, or can show that you have repeatedly breached these AI Terms.
- You can clarify the facts or circumstances of a restriction, suspension or termination through the complaint process in section 22, and Clipy will reinstate you without undue delay where the decision proves unjustified.
- Clipy does not rank or differentiate between Clipy AI clients in the visibility of their Campaigns, and does not give its own products preferential treatment within Clipy AI.
- Clipy does not restrict you from offering your goods or services on other channels or on other terms.
- Clipy offers an internal complaint-handling system (section 22), free of charge, and will handle complaints within a reasonable time. Clipy will also identify, on request, one or more independent mediators it is willing to engage with to attempt an out-of-court settlement of a dispute, and will bear a reasonable proportion of the costs of mediation. Mediation is voluntary and does not affect your right to go to court at any time.
- Clipy's access to data you provide or that is generated by your Campaigns is described in sections 33 to 37 and in the Privacy Policy.
- You represent that neither your business nor any of its owners, directors or controllers is the subject or target of sanctions administered by the United Nations, the EU, the UK, the United States, Canada or any other relevant authority, or is located in or organised under the laws of a country or territory subject to comprehensive sanctions.
- You must not use Clipy AI to promote goods or services to, or for the benefit of, any sanctioned person, country or territory, or in breach of any export control law.
- You must comply with all applicable anti-bribery and anti-corruption laws, including the UK Bribery Act 2010, the US Foreign Corrupt Practices Act and equivalent laws, and must not offer, give or accept any bribe or improper payment in connection with Clipy AI, including to any Clipy personnel, Account Partner or Platform employee.
- You must comply with applicable anti-money laundering laws and must not use Clipy AI in connection with the proceeds of crime.
- Clipy may suspend or end Clipy AI immediately, without refund, if it reasonably believes this section has been breached or that continuing would expose Clipy to sanctions or corruption risk.
- Clipy may suspend or end Clipy AI for your workspace, stop a Campaign, or remove Content immediately if you breach these AI Terms or the documents they add to, if a payment is overdue, if a Platform, Account Partner or authority requires it, or if continuing would expose Clipy, its partners or others to legal, security or reputational harm. Section 41 applies where the P2B Regulation applies.
- If Clipy ends a Campaign for reasons that are not your fault and before any account has been created, section 12 applies. If Clipy ends it because of your breach, amounts already paid are not refundable and amounts already due remain payable.
- You may end your use of Clipy AI at any time by stopping your Campaigns and cancelling any subscription under section 11. Amounts already paid are not refunded except as set out in section 12.
- Either party may end these AI Terms by written notice if the other party materially breaches them and, where the breach can be remedied, does not remedy it within 14 days of being asked to.
- On termination, your right to use Clipy AI ends, upcoming posts are held (subject to section 23 for posts already handed to Account Partners), and data is handled as described in sections 35 and 40 and the Privacy Policy.
Except as expressly stated in these AI Terms, Clipy AI is provided “as is” and “as available”. To the fullest extent permitted by law, Clipy disclaims all warranties, conditions and representations, express, implied or statutory, including warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, and that the service, the Managed Accounts, the AI Assistant or any analytics will be uninterrupted, timely, secure, error-free, accurate, or achieve any result.
Clipy is not responsible for the acts, omissions, policies, outages or decisions of Platforms, Account Partners, payment processors, AI model or search providers, or other third parties, except to the extent that Clipy's own breach of these AI Terms caused the loss.
Excluded losses. To the fullest extent permitted by law, Clipy will not be liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, contracts, opportunity, goodwill, reputation, data, followers, reach, accounts or anticipated results, arising out of or relating to Clipy AI, however caused, even if Clipy was told such loss was possible.
Cap. To the fullest extent permitted by law, Clipy's total aggregate liability for all claims arising out of or relating to Clipy AI is limited to the amount you paid Clipy for the affected Clipy AI Campaign in the three months before the event giving rise to the claim. This cap applies to Clipy AI in place of the general cap in the Terms of Service.
Platform actions. Clipy has no liability for any loss caused by a Platform's restriction, demotion, labelling, suspension or removal of a Managed Account or post, or by a Platform's change of rules or features, except to the extent caused by Clipy's own breach of these AI Terms.
Non-excludable liability. Nothing in these AI Terms excludes or limits any liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct where the law does not allow it to be limited, or under mandatory provisions of applicable data protection law to the extent they cannot be limited.
Your liability. The limits in this section do not limit your obligation to pay amounts due, your indemnity obligations under section 46, or your liability for breach of sections 14, 18 or 42.
Any claim relating to Clipy AI must be brought within one year after the event giving rise to it, to the extent the law allows such a period to be shortened.
You will defend, indemnify and hold harmless Clipy, its affiliates, Account Partners and other service partners, and their personnel, from any claims, demands, investigations, losses, fines, penalties, damages and costs (including reasonable legal fees) arising from:
- your Content, your instructions, or your products or services;
- any missing advertising, sponsorship or AI disclosure that was your responsibility;
- a claim that your Content infringes or violates someone else's intellectual property, privacy, publicity, data protection or other rights;
- your breach of these AI Terms, the documents they add to, or Applicable Law; or
- any action taken by a Platform or authority against Clipy, its partners or the Managed Accounts because of your Content or your breach.
Clipy will tell you promptly of a claim it seeks to be indemnified for, allow you to control the defence where reasonable (provided you do not settle any claim that imposes an obligation on Clipy without its written consent), and cooperate reasonably at your expense.
Clipy is not liable for any delay or failure to perform caused by events beyond its reasonable control, including changes in Platform rules, features, algorithms or enforcement; Platform, hosting, network or AI provider outages; failures of Account Partners or other service partners not caused by Clipy; cyberattacks; natural events, epidemics, fire or flood; war, terrorism or civil unrest; labour disputes; changes in law; sanctions; and government or regulatory action.
Clipy will take reasonable steps to minimise the effect of such an event. If an event prevents Clipy from operating a Campaign for more than 30 consecutive days, either party may end the affected Campaign by written notice, and section 12 applies only if no account had yet been created.
- Clipy may change, add or remove features, partners, Platforms, Plans, prices and limits. Where a change materially reduces what you bought for a running Campaign, Clipy will tell you and you may end the Campaign; Clipy will consider in good faith a proportionate credit or refund for the unused period.
- Clipy may update these AI Terms. The “Last updated” date shows the current version. Material changes take effect for your existing Campaigns after reasonable notice (at least 15 days where the P2B Regulation applies); continuing to use Clipy AI after that means you accept them. If you do not accept a change, you may cancel before it takes effect.
- Changes required by law, or needed urgently to address security or fraud risks or a Platform requirement, may take effect immediately.
- You may not assign, transfer or subcontract your rights or obligations under these AI Terms without Clipy's prior written consent.
- Clipy may assign or transfer these AI Terms to an affiliate or to a successor in connection with a merger, acquisition, reorganisation or sale of assets, and will tell you where the law requires.
- Clipy may use subcontractors and service partners, including Account Partners, to perform Clipy AI. Clipy remains responsible to you for the performance of its obligations under these AI Terms.
- Clipy may give you notices by email to the workspace owner's address, by notice in your workspace, or by any other method allowed by the Terms of Service. Notices by email are treated as received on the business day after sending.
- Legal notices to Clipy, including notices of breach, data protection requests and reports of illegal content, must be sent to admin@useclipy.com. Day-to-day matters, cancellations and refund requests should be sent to support@useclipy.com.
- You must keep the workspace owner's email address up to date. Notices sent to the last address you gave are validly given.
If documents conflict, the following order applies to Clipy AI, highest first:
- a separate written agreement or order form signed by Clipy for your Campaign, but only for the matters it expressly covers;
- a signed DPA, for matters of Personal Data processing;
- these AI Terms;
- the Campaign & Client Policy;
- the Terms of Service;
- the Privacy Policy, for matters other than Clipy's own data handling, for which the Privacy Policy controls.
The Plan details you confirmed on the payment screen apply to price, setup fee, number of accounts, Allowance, Platforms and billing type, and prevail over any general description of Plans elsewhere.
These AI Terms, together with the Terms of Service, the Privacy Policy, the Campaign & Client Policy, any signed DPA, and the Plan and order details you confirmed, are the entire agreement about Clipy AI and replace any earlier understanding about it. Statements made in marketing, sales conversations, support messages or by the AI Assistant do not change them unless included in a written agreement signed by Clipy. You confirm that you have not relied on any statement not set out in these documents, but nothing in this section limits liability for fraudulent misrepresentation.
- Governing law, dispute resolution and the related provisions of the Terms of Service apply to these AI Terms.
- Before starting formal proceedings, each party will try in good faith to resolve the dispute by written correspondence for at least 30 days, using the complaint process in section 22 where it applies.
- Nothing in these AI Terms prevents either party from seeking urgent injunctive or interim relief from a competent court, or prevents you from using mediation or out-of-court dispute settlement available to you under the P2B Regulation or the DSA.
- Where mandatory law in the country where your business is established gives you rights or access to courts that cannot be excluded by agreement, those rights are not affected.
Sections 4, 9, 10, 12, 14, 15, 16, 17, 22, 26, 33, 35, 39, 40, 44, 45, 46, 51, 52, 53, 54 and 55, and any other provision that by its nature should continue, survive the end of a Campaign or of these AI Terms. Ending these AI Terms does not affect rights and obligations that arose before it ended.
- If any part of these AI Terms is found unenforceable, the rest remains in effect, and the unenforceable part is applied to the greatest extent the law allows.
- Clipy's failure or delay in enforcing a provision is not a waiver of it.
- The parties are independent contractors. Nothing in these AI Terms creates a partnership, joint venture, agency, employment or fiduciary relationship, and neither party may bind the other.
- No third party has any right to enforce these AI Terms, except that Clipy's affiliates and service partners may rely on sections 45 and 46.
- These AI Terms are written in English. Any translation is for convenience, and the English version prevails.
- You agree that these AI Terms, notices and statements of reasons may be provided electronically and that electronic acceptance is binding.
